1. Acceptance of Terms
Plain language summary: By using ENZO, you agree to these terms. If you don't agree, please don't use the Service.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and the ENZO team ("ENZO," "we," "us," or "our") governing your access to and use of the ENZO application, website, and related services (collectively, the "Service") available at enzopos.app and app.enzopos.app.
By creating an account, accessing, or using the Service in any way, you confirm that:
- You have read, understood, and agree to be bound by these Terms
- You are at least 18 years old or have the legal capacity to enter into a binding contract under Philippine law
- If you are accepting on behalf of a business or organization, you have the authority to bind that entity to these Terms
These Terms are governed by the laws of the Republic of the Philippines and applicable consumer protection and data privacy regulations.
2. Description of Service
ENZO is a cloud-based, offline-first Point of Sale (POS) software application designed for Philippine small to medium-sized businesses. The Service includes:
- Point of Sale (POS) checkout and transaction processing tools
- Inventory and stock management
- Customer relationship management (CRM) and loyalty features
- Sales reporting and analytics
- Multi-store and team management capabilities (Pro plan)
- Offline functionality with automatic cloud synchronization
- Digital receipt generation and delivery
- Supplier and purchase order management (Pro plan)
The Service is provided as Software-as-a-Service (SaaS) accessible via web browser and as an installable Progressive Web App (PWA). No physical hardware is included or required beyond a compatible device with a web browser.
We reserve the right to modify, add, or remove features of the Service at any time, with reasonable notice provided for significant changes.
3. Accounts & Registration
3.1 Account Creation
To use the Service, you must register for an account with a valid email address and password. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.2 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Immediately notifying us at [email protected] of any unauthorized use of your account
ENZO cannot and will not be liable for any loss or damage arising from your failure to comply with these security obligations.
3.3 One Account per User
Each individual may register one account. You may not share your account credentials with others. If you need to add team members, use the Team Invite feature within the application.
3.4 Account Verification
We may require email verification or identity confirmation at our discretion, particularly in cases of suspected abuse or prior to processing refunds.
4. Subscriptions & Payments
4.1 Subscription Plans
ENZO offers the following subscription tiers:
- Free Plan: ₱0/month — includes basic POS, up to 100 products, 100 customers, 1 store, 2 team members
- Pro Plan: ₱105/month (or as displayed on our pricing page) — includes all Free features plus advanced reporting, unlimited products and customers, up to 999 stores and users, and all Pro-gated features
- Lifetime Plan: One-time payment — includes all Pro features with no recurring fees. Contact us for pricing.
Current pricing is always displayed at enzopos.app#pricing. Prices are in Philippine Peso (PHP) and are inclusive of applicable taxes.
4.2 Billing & Payment Processing
Paid subscriptions are billed on a monthly basis. Payments are processed by PayMongo, a licensed payment provider. Accepted payment methods include GCash, Maya, credit cards, and debit cards.
By subscribing to a paid plan, you authorize ENZO (through PayMongo) to charge your selected payment method on a recurring monthly basis until you cancel.
4.3 Automatic Renewal
Pro subscriptions automatically renew each month on your billing anniversary date. You will receive an email reminder before renewal. You may cancel at any time before the renewal date to avoid future charges.
4.4 Refund Policy
We offer the following refund policy:
- New subscriptions: If you subscribe to Pro and are unsatisfied, contact us within 7 days of your first payment for a full refund
- Renewal charges: We do not provide refunds for renewal charges after the billing date, except in cases of technical error on our part
- Lifetime plan: No refunds after purchase, as it is a one-time payment for perpetual access
To request a refund, email [email protected] with your account email and reason for the request.
4.5 Price Changes
We reserve the right to change subscription prices. We will notify you at least 30 days in advance via email before any price increase takes effect on your account. Your continued use of the Service after a price change constitutes acceptance of the new price.
4.6 Failed Payments
If a payment fails, your account will enter a "Past Due" state. We will attempt to retry the charge and notify you by email. If payment is not resolved within 7 days, your account will be downgraded to the Free plan. Your data will be retained, but Pro features will become inaccessible until payment is resolved.
5. Free Plan
The Free plan is available indefinitely at no cost, subject to the following conditions:
- The Free plan is limited to the features and quotas described on our pricing page
- We reserve the right to modify Free plan features or limits with 30 days' notice
- The Free plan is intended for individual business use. Commercial resale of Free plan access is prohibited.
- We may display non-intrusive upgrade prompts within the application to Free plan users
ENZO does not guarantee the permanent availability of the Free plan. In the unlikely event that we discontinue the Free plan, we will provide at least 90 days' advance notice to allow users to migrate or export their data.
6. Acceptable Use Policy
Important: Violation of this policy may result in immediate suspension or termination of your account without refund.
6.1 Permitted Use
ENZO is intended for lawful business purposes only — tracking sales, managing inventory, and operating your legitimate Philippine business.
6.2 Prohibited Activities
You agree NOT to use the Service to:
- Facilitate, record, or process any illegal transactions, including tax evasion, fraud, or money laundering
- Store or transmit data in violation of the Philippine Data Privacy Act or other applicable laws
- Attempt to gain unauthorized access to ENZO's systems, other users' accounts, or any related infrastructure
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service
- Resell, sublicense, or commercially redistribute access to the Service without prior written consent
- Use automated scripts, bots, or crawlers to interact with the Service in a way that burdens our infrastructure
- Upload malicious code, viruses, or any software intended to damage or disrupt the Service
- Impersonate another person, business, or entity
- Use the Service for any purpose that violates applicable Philippine law, including the Cybercrime Prevention Act of 2012 (RA 10175)
6.3 Your Customers' Data
When you store customer information in ENZO (names, contact details, purchase history), you become the data controller of that personal data under the Philippine Data Privacy Act. You are responsible for:
- Obtaining proper consent from your customers to collect and store their personal data
- Complying with the Philippine Data Privacy Act of 2012 (RA 10173) in your use of that data
- Providing your customers with access to their data upon request
- Deleting customer data when no longer needed or upon their request
7. Your Data & Content
7.1 Ownership
You retain full ownership of all data, content, and information you input into the Service ("Your Data"), including products, sales records, customer information, and business data. ENZO claims no ownership over Your Data.
7.2 License to ENZO
By using the Service, you grant ENZO a limited, non-exclusive, worldwide, royalty-free license to store, process, transmit, and display Your Data solely for the purpose of providing the Service to you. This license terminates when you delete your account.
7.3 Data Portability
You may export your business data at any time. Pro plan users can export sales and inventory reports to CSV directly from the application. For a full data export, contact us at [email protected].
7.4 Data Backup
While ENZO maintains cloud backups and offers offline-first local storage, you are encouraged to regularly export important records. ENZO is not liable for data loss caused by your own actions (e.g., clearing browser data before syncing) or force majeure events.
7.5 Aggregated Data
ENZO may collect and use anonymized, aggregated data derived from usage of the Service (with all personally identifiable information removed) for product improvement, research, and business analytics purposes. This aggregated data does not identify you or your business.
8. Intellectual Property
8.1 ENZO's IP
The Service, including its software, design, code, interface, branding, logos, trademarks, and documentation, are the exclusive property of ENZO and are protected by Philippine and international intellectual property laws. Nothing in these Terms grants you any right or license in ENZO's intellectual property except as expressly stated.
8.2 License to Use
Subject to your compliance with these Terms and payment of applicable fees, ENZO grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business operations during the term of your subscription.
8.3 Feedback
If you submit suggestions, ideas, feature requests, or feedback about the Service ("Feedback"), you grant ENZO an irrevocable, perpetual, worldwide, royalty-free license to use, incorporate, and implement that Feedback without any obligation to compensate you.
9. Availability & Service Uptime
We strive to provide a reliable Service, but we do not guarantee uninterrupted, error-free availability. Scheduled and unscheduled maintenance, third-party infrastructure issues, or events beyond our control may result in downtime.
- Scheduled maintenance will be communicated at least 24 hours in advance where possible
- Offline functionality ensures you can continue recording sales during connectivity interruptions — ENZO's offline-first architecture minimizes business impact from server outages
- We do not provide Service Level Agreement (SLA) guarantees for the Free plan. Pro plan users may contact us for uptime inquiries.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by Philippine law, ENZO disclaims all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Any warranty that the Service will be uninterrupted, error-free, or free of viruses or harmful components
- Any warranty regarding the accuracy, completeness, or reliability of any reports, analytics, or data generated by the Service
Financial Advice Disclaimer
ENZO is a business management tool, not a financial advisory service. Reports, profit analyses, and financial data generated by ENZO are for informational purposes only and do not constitute accounting, tax, legal, or financial advice. You are responsible for ensuring your own compliance with BIR regulations and Philippine tax law. Consult a qualified accountant or financial advisor for professional guidance.
Tax Compliance Disclaimer
While ENZO supports VAT inclusive/exclusive calculations and provides reports useful for bookkeeping, ENZO does not guarantee compliance with BIR (Bureau of Internal Revenue) requirements. You are solely responsible for your tax obligations under Philippine law.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ENZO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, business opportunities, or goodwill
- Damages arising from unauthorized access to or alteration of your data
- Damages arising from any failure or interruption of the Service
EVEN IF ENZO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In any case, ENZO's total cumulative liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total amount you paid to ENZO in the 12 months immediately preceding the claim; or (b) ₱1,000 PHP.
Some jurisdictions do not allow the exclusion or limitation of certain types of liability. If you are a consumer under Philippine law, certain statutory rights may apply that cannot be waived by contract.
12. Indemnification
You agree to defend, indemnify, and hold harmless ENZO and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms
- Your use of the Service in an unlawful or unauthorized manner
- Your violation of any third-party rights, including intellectual property or privacy rights
- Your failure to comply with the Philippine Data Privacy Act in relation to your customers' data
13. Termination
13.1 Termination by You
You may cancel your account at any time via Settings → Account → Delete Account in the app, or by contacting us at [email protected]. For paid subscriptions, cancellation stops future billing; you retain access until the end of your current billing period. No partial-month refunds are provided except as stated in Section 4.4.
13.2 Termination by ENZO
We reserve the right to suspend or terminate your account, with or without notice, if:
- You materially breach these Terms and fail to cure the breach within 7 days of notice
- You engage in activities that violate the Acceptable Use Policy (Section 6)
- You are abusive toward ENZO staff or other users
- Continued provision of Service creates legal or regulatory risk for ENZO
- You fail to pay outstanding subscription fees after the grace period
13.3 Effect of Termination
Upon account termination:
- Your access to the Service will cease immediately (or at the end of your billing period for voluntary cancellations)
- Your data will be retained for 30 days during which you may request an export
- After 30 days, your data will be permanently deleted from our systems
- Provisions of these Terms that by their nature should survive termination will do so, including but not limited to: ownership provisions, disclaimers, limitation of liability, and governing law
14. Governing Law & Dispute Resolution
14.1 Governing Law
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.
14.2 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve the dispute informally by contacting us at [email protected] and giving us at least 30 days to respond and work toward a resolution.
14.3 Dispute Resolution
If informal resolution fails, disputes shall be resolved through the appropriate courts or regulatory bodies in the Philippines. For consumer disputes, you may also contact the Department of Trade and Industry (DTI) or the appropriate consumer protection agency.
15. Changes to These Terms
We may revise these Terms at any time to reflect changes in our Service, legal requirements, or for other operational reasons. When we make material changes:
- We will update the "Last updated" date at the top of this page
- We will notify you by email at least 14 days before the updated Terms take effect
- Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms
- If you do not agree to the revised Terms, you must stop using the Service and may cancel your account
16. Miscellaneous
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and ENZO regarding the Service and supersede all prior agreements and understandings.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
No Waiver
ENZO's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. ENZO may assign its rights and obligations without restriction.
Force Majeure
ENZO shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, government actions, network or infrastructure failures, or other force majeure events.
Language
These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
17. Third-Party Services on Website
Our website (enzopos.app) uses the following third-party services:
- Tawk.to — Live chat widget for customer support. Use of the chat is subject to Tawk.to's Terms of Service and Privacy Policy
- Meta Pixel — A tracking tool that helps us measure ad effectiveness. Meta's Platform Terms and Data Policy apply
We are not responsible for these third-party services, their data practices, or any issues arising from your use of them. For questions about their handling of your data, please refer to their respective privacy policies.
